1. Who we are; accepting these terms
The MarketKeel service (the “Service”) — including the sites and workspace at marketkeel.io and other MarketKeel-operated domains — is operated by MarketKeel LLC, a Colorado limited liability company (“MarketKeel,” “we,” “us”). By creating a profile, purchasing an offer, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for an organization, you represent that you are authorized to bind it, and “you” includes that organization. The Service is for business use by adults and is not directed to anyone under 18.
2. The Service; beta status
The Service is a market-intelligence workspace: evidence-linked dashboards, scenario tools, AI-assisted research, and decision briefs. Portions of the Service are labeled beta or preview and may change, be interrupted, or be withdrawn. Coverage labels in the product (for example “live,” “partial,” or “catalog-only”) describe the current state of connected evidence, which varies by market.
3. Profiles and security
Provide accurate profile information and keep your access credentials secure; you are responsible for activity under your profile. Notify us promptly at support@marketkeel.io of any unauthorized use. We may suspend access to protect the Service, its users, or data providers.
4. Purchases, subscriptions, and refunds
Paid offers, prices, and what each includes are stated at purchase. Payments are processed by Stripe; we never receive your full card number. Subscriptions renew automatically each billing period until cancelled; you can cancel future renewals through the billing portal, effective at the end of the current period. Access to paid features is granted only after payment is verified through our payment processor. Unless a specific offer states otherwise or applicable law requires it, fees are non-refundable once the associated deliverable has been generated or the subscription period has begun. Taxes are added where required.
5. Your content
You own the questions, notes, dashboards, uploads, and other content you submit (“Customer Content”). You grant us a non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Service as the Privacy Policy describes. Submit only material you have the right to share.
6. Our materials
The Service — software, design, market taxonomy, report structures, templates, and documentation — is owned by MarketKeel LLC or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service, and to use reports and exports generated for you for your internal business purposes. You may not copy, resell, sublicense, or provide the Service to third parties as a service bureau except as expressly permitted.
7. Data sources and redistribution limits
The Service retrieves data from public and licensed third-party sources, each with its own terms. Source, date, and attribution information displayed with evidence is part of the deliverable and must not be removed from reports you share. You may not systematically extract, republish, or redistribute underlying third-party datasets from the Service. Government-source data (for example BLS, SEC, or Census data) remains subject to those agencies' attribution requirements.
8. AI-assisted output
Parts of the Service generate analysis with artificial-intelligence systems grounded on retrieved evidence. AI output can be incomplete or wrong, and evidence coverage is bounded and dated. The Service is designed to show sources, dates, calculations, and gaps — review them before relying on any output. No fiduciary, adviser, or client relationship is created by your use of the Service.
9. Acceptable use
Do not use the Service unlawfully or in violation of data-provider terms; probe, disrupt, or circumvent security or rate limits; scrape or bulk-extract Service content; use the Service to build or train a competing dataset or model from our licensed or compiled content; or submit malicious code or personal-data categories the Service is not approved to handle.
10. Termination
You may stop using the Service or delete your profile at any time. We may suspend or end access for breach of these Terms, legal risk, or discontinuation of the Service, with notice where practicable. Sections 5–8 and 11–13 survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT ANY DATA, CALCULATION, OR AI OUTPUT IS COMPLETE, CURRENT, OR ERROR-FREE.
12. Limitation of liability; indemnification
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. You will defend and indemnify MarketKeel LLC against third-party claims arising from your Customer Content, your breach of these Terms, or your unlawful use of the Service.
13. Governing law and disputes
These Terms are governed by Colorado law, without regard to conflicts rules. The parties will first try in good faith to resolve any dispute informally by notice to support@marketkeel.io. Any dispute not resolved informally will be brought exclusively in the state and federal courts located in Denver, Colorado, and each party consents to their jurisdiction.
14. Changes; contact
